Private Acquisitions

We specialize in assisting client in purchasing both assets and turn key businesses in Belize. The most important aspect of any private acquisition is the carrying out of proper legal due diligence. Essentially there are two types of private acquisitions, these are:

a) Asset Purchase

b) Share Purchase

ASSET PURCHASE

An asset purchase is generally where a purchaser acquires only the assets of an existing business (equipment, intellectual property, vehicles, inventory). In assisting our clients with an asset purchase we would carry out all the necessary searches to ensure that the items are free and clear from any charges, liens, or third party claims. We would also prepare and/or amend any existing sale agreement proposed by the Vendor to protect the purchaser. A judgment search at the Supreme Court of Belize will also be required.

As such we would assist the purchaser in the following:

a) Preparing and/or amending the Sale Agreement;

b) Carrying out a Company Search;

c) Carrying out a Property search (if required);

d) Carrying out a Judgment Search; and

e) Applying for necessary Licenses

SHARE PURCHASE

On the other hand a share purchase generally involves the purchasing of the shares of the existing company which operates the particular business. Therefore the purchaser would become the owner of the shares of the company along with any other party of his choosing. When purchasing shares of a corporation, the entity does not change and as such all existing liability and assets remain with the company. Having said this we cannot stress enough how important it is for the due diligence to be done before taking this route.

As such we would assist the purchaser in the following:

f) Preparing and/or amending the Sale Agreement;

g) Carrying out a Company Search;

h) Carrying out a Property search (if required); and

i) Carrying out a Judgment Search.
